PLEASE READ CAREFULLY:  These Terms of Use govern your access to and use of the iSportz Platform, website, and services. By accessing or using iSportz, you agree to these Terms. If you do not agree, do not use iSportz. Organization customers are also governed by the iSportz Master Service Agreement (MSA), which takes precedence over these Terms in the event of conflict.

These Terms of Use (“Terms”) are entered into between iSportz, Inc., a Delaware corporation (“iSportz,” “we,” “us,” or “our”), and you as an individual user. iSportz operates a sports management software platform (the “Platform” or “iSportz Services”) and the website at https://isportz.co (“Website”).

1. WHO THESE TERMS COVER

Defined terms used in these Terms have the same meanings as in the iSportz MSA. Key definitions:

“Platform” or “iSportz Services” — the iSportz sports management software, mobile applications, and all services accessible at https://isportz.co.

“Organization” — the sports club, league, team, school, federation, or association that has purchased a subscription to iSportz.

“Administrator” — a person nominated by an Organization who has administrative access to the Platform.

“Member” — an athlete, parent, volunteer, or other individual whose information is managed within the Platform by an Organization.

“Authorized User” — any individual authorized by an Organization to access the Platform under that Organization’s subscription.

“Content” — all material available through the Platform, including software, text, data, images, audio, and video.

“UGC” — User-Generated Content — any content uploaded, posted, or submitted by users through the Platform.

2. ACCEPTANCE OF THESE TERMS

By accessing or using the iSportz Platform or Website, you agree to be bound by these Terms and the iSportz Privacy Policy (https://isportz.co/sports/legal_docs/privacy-policy/). If you are accessing the Platform on behalf of an Organization, you represent and warrant that you have authority to bind that Organization to these Terms.

2.1  Age Requirements

The iSportz Platform is designed for use by adults 18 years of age or older. Specifically:

  • To register for an account or subscription, you must be at least 18 years old
  • Administrators and Authorized Users must be at least 18 years old
  • Members under 18 may have profiles created and managed within the Platform by their parent, guardian, or an authorized adult Administrator — they do not directly register or create accounts
  • Children under 13 may have data entered into the Platform only by a parent, guardian, or adult Administrator, in accordance with COPPA and the iSportz Children’s Privacy Policy at https://isportz.co/legal-COPPA
2.2  Electronic Acceptance

These Terms constitute a legally binding agreement accepted electronically under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). Your electronic acceptance — whether by clicking “I Agree,” creating an account, or using the Platform — has the same legal effect as a handwritten signature.

2.3  Electronic Communications

By using the iSportz Platform and providing your contact information, you consent to receiving communications from iSportz electronically, including by email and through Platform notifications. All agreements, notices, disclosures, and other communications delivered electronically satisfy any legal requirement that such communications be in writing. You may opt out of marketing communications at any time — see Section 10.

3. PERMITTED USE OF THE PLATFORM

3.1  License Grant

Subject to these Terms and, for Organizations, to the MSA and payment of applicable fees, iSportz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the iSportz Platform and Website solely for lawful sports management purposes in accordance with these Terms.

3.2  Authorized Uses
  • Accessing and using Platform features provided under your Organization’s subscription
  • Managing sports rosters, events, registrations, schedules, and communications for your Organization
  • Uploading and sharing content within the Platform in accordance with Section 6 below
  • Accessing personal account information and updating your profile
  • Using the Platform’s communication tools to contact other authorized users in connection with sports management activities
3.3  Prohibited Uses

You may not use the Platform or Website for any of the following:

Attempting to access accounts, systems, or data you are not authorized to access; bypassing authentication; scraping or harvesting data

Intellectual property violation

Copying, modifying, distributing, or creating derivative works of iSportz software or content without authorization

Harm to iSportz or other users

Uploading malware or harmful code; conducting denial-of-service attacks; transmitting spam or unsolicited messages

Unlawful activity

Using the Platform for any purpose that violates applicable US federal, state, or local law

Competitive misuse

Accessing the Platform to build or benchmark a competing product; scraping data for competitive intelligence

Impersonation or fraud

Misrepresenting your identity or affiliation; submitting false information; creating fraudulent transactions

Child safety violations

Uploading child data in violation of COPPA or without required parental consent; exposing child data to unauthorized parties

Benchmarking or publishing performance data

Publishing benchmark test results or comparative performance data about the Platform without iSportz’s prior written consent

iSportz reserves the right to investigate and take appropriate action — including suspending or terminating access, removing content, and reporting to law enforcement — against anyone who violates these prohibited use rules.

4. ACCOUNTS, CREDENTIALS, AND ACCESS

4.1  Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activity that occurs under your account. You must:

  • Keep your password secure and not share it with anyone
  • Notify iSportz immediately at support@isportz.co if you suspect unauthorized access to your account
  • Log out of your account when using shared devices
  • Ensure that any other person you authorize to access the Platform under your account complies with these Terms

 

iSportz is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4.2  Account Suspension and Termination by iSportz

iSportz reserves the right, in its sole discretion and without prior notice, to:

  • Suspend or terminate your access to the Platform for any violation of these Terms or the MSA
  • Terminate your access immediately for conduct that iSportz determines is harmful to iSportz, other users, or third parties
  • Require changes to your username or credentials at any time
  • Limit, suspend, or deny access to specific Platform features

 

⚠ iSPORTZ’S RIGHT TO TERMINATE:  iSportz may terminate access for any reason with or without notice. Termination does not entitle you to a refund of any subscription fees paid. Subscription refund terms are governed by the MSA Section 13.

4.3  Organization Control Over User Access

Organizations control which individuals are designated as Administrators and Authorized Users. Organizations are solely responsible for their Administrators’ and Members’ compliance with these Terms. iSportz is not responsible for actions taken by Administrators or Members within the Platform.

5. INTELLECTUAL PROPERTY

5.1  iSportz Owns the Platform

The iSportz Platform, Website, and all Content provided by iSportz — including software, code, design, text, graphics, logos, trademarks, audiovisual materials, data compilations, and all other materials — are owned by iSportz or licensed to iSportz by third parties. All rights not expressly granted to you are reserved by iSportz.

The iSportz name, logo, and all iSportz product names are trademarks of iSportz, Inc. You may not use iSportz trademarks without prior written permission.

5.2  What You May NOT Do With iSportz Content
  • Copy, reproduce, distribute, publish, or transmit any iSportz Content without express written authorization
  • Modify, reverse engineer, decompile, or disassemble the Platform or any part of it
  • Remove, alter, or obscure any trademark, copyright, or other proprietary notice on the Platform
  • Frame or mirror the Platform on any other website or platform
  • Use iSportz Content for commercial purposes not expressly permitted by your subscription
5.3  Limited Exception — Personal and Internal Use

You may view and print pages from the Website for your own personal, non-commercial reference or for internal use within your Organization’s sports program, provided you do not remove any copyright or other proprietary notices.

6. USER-GENERATED CONTENT

6.1  Your Content

The iSportz Platform allows users to upload, post, publish, and share content including text, photos, videos, documents, and other materials (“User-Generated Content” or “UGC”). As between you and iSportz, you retain ownership of UGC that you upload.

6.2  License You Grant iSportz

By uploading UGC to the Platform, you grant iSportz a non-exclusive, royalty-free, sublicensable, worldwide license to use, store, reproduce, display, and distribute that UGC solely for the purpose of operating and providing the iSportz Services. This license ends when you delete the UGC or close your account, except to the extent copies have been shared with others or retained in backups during the standard retention period.

6.3  Your Responsibilities for UGC

By uploading UGC, you represent and warrant that:

  • You own the UGC or have all necessary rights, licenses, consents, and permissions to upload it and to grant iSportz the license above
  • The UGC does not infringe any copyright, trademark, privacy, publicity, or other rights of any third party
  • You have obtained all required consents from individuals who appear in photos or videos — including, for child athletes, verifiable parental consent in accordance with COPPA
  • The UGC does not violate any applicable US federal, state, or local law
  • The UGC does not contain malware, viruses, or harmful code
6.4  Prohibited Content

You may not upload UGC that:

  • Is defamatory, obscene, hateful, harassing, threatening, or abusive
  • Depicts minors in a sexual or inappropriate manner
  • Infringes any third party’s intellectual property or privacy rights
  • Constitutes spam, phishing, or unauthorized advertising
  • Contains personal information about individuals who have not consented to its publication
  • Violates any applicable law
6.5  iSportz’s Rights Over UGC

iSportz is not obligated to monitor, review, or moderate UGC. However, iSportz reserves the right to remove, disable, or limit access to any UGC at any time, without notice, if iSportz determines in its sole discretion that the content violates these Terms or is otherwise objectionable. Removal of UGC does not create any liability on iSportz’s part.

iSportz is not responsible or liable for any UGC posted by users and does not endorse any UGC.

7. PRIVACY AND DATA PRACTICES

iSportz’s collection and use of personal information is governed by the iSportz Privacy Policy, available at https://isportz.co/sports/legal_docs/privacy-policy/. By using the Platform, you agree to the Privacy Policy.

7.1  Organization Data

Personal information about Members (athletes, parents, volunteers) that Organizations enter into the Platform is “Organization Data” governed by the iSportz Data Processing Agreement (DPA) at https://isportz.co/sports/legal_docs/data-processing-agreement. iSportz processes Organization Data as a service provider acting on the Organization’s instructions. The Organization is responsible for its Members’ data and for its own compliance with applicable privacy laws.

7.2  Children’s Privacy

iSportz does not knowingly collect personal information directly from children under 13. Child athlete data is managed by Organizations and their authorized adult Administrators in accordance with COPPA. The iSportz Children’s Privacy Policy at https://isportz.co/legal-COPPA governs how iSportz handles child athlete data at the platform level. Organizations are responsible as the COPPA operators for obtaining verifiable parental consent before entering child data into the Platform.

8. THIRD-PARTY SERVICES AND LINKS

The iSportz Platform may include integrations with, or links to, third-party websites, services, and applications. iSportz does not control, endorse, or assume any responsibility for third-party services or their content, privacy practices, or terms of use.

When you access a third-party service through an iSportz integration, you are subject to that service’s own terms and privacy policy. iSportz recommends that you review those terms before sharing any personal information with a third-party service.

Organizations that configure iSportz integrations with third-party tools are responsible for ensuring those integrations comply with applicable law and for informing their Members accordingly.

9. PAYMENTS AND SUBSCRIPTIONS

Subscription fees, billing terms, refund policies, and payment processing terms for Organizations are governed by the iSportz MSA (Sections 11 and 13). Key points:

  • All subscriptions are subject to the Platform Minimum of 5,000 active users (or as specified in the applicable Pricing Agreement)
  • Subscription fees are non-refundable except as expressly provided in the MSA
  • Payment processing is handled by Stripe, Inc. — iSportz does not store credit card numbers
  • iSportz reserves the right to change subscription fees with advance notice as specified in the MSA

 

If you have a payment dispute, contact support@isportz.co. Payment disputes are subject to the MSA Section 11 and the arbitration provisions in Section 13 of these Terms.

10. COMMUNICATIONS AND MARKETING

10.1  Service Communications

iSportz sends service-related communications by email and Platform notification — including account verification, billing confirmations, security alerts, and Platform updates. These communications are required for the operation of the service and cannot be opted out of while your account is active.

10.2  Marketing Communications

iSportz may send marketing emails to Administrators about new features, events, and iSportz products. Every marketing email includes an unsubscribe link. To opt out of marketing emails at any time:

  • Click the “Unsubscribe” link in any marketing email, or
  • Email support@isportz.co with the subject line “Unsubscribe”
10.3  SMS and Text Message Communications

If you provide a mobile phone number and opt in to SMS communications, iSportz may send you text messages related to your account, registration confirmations, event reminders, and similar service notifications. Standard message and data rates from your carrier may apply — iSportz does not charge for SMS messages but is not responsible for carrier charges.

To stop receiving SMS messages, reply STOP to any iSportz text message. To request help, reply HELP. Opting out of SMS does not affect your account or other service communications.

11. DISCLAIMER OF WARRANTIES

THE iSPORTZ PLATFORM AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE US LAW, iSPORTZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
  • Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components
  • Any warranty as to the accuracy, completeness, reliability, or timeliness of any Content on the Platform
  • Any warranty that defects will be corrected or that the Platform will meet your specific requirements

 

Some US states do not allow the exclusion of certain implied warranties. To the extent applicable law does not permit the exclusion of a warranty, iSportz’s liability for breach of that warranty is limited to the maximum extent permitted by law.

12. LIMITATION OF LIABILITY

⚠ READ THIS SECTION CAREFULLY — IT LIMITS iSPORTZ’S LIABILITY TO YOU.  This section applies to the maximum extent permitted by applicable US law. Some states do not allow certain liability limitations, so some of the below may not apply to you.

12.1  No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iSPORTZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE iSPORTZ PLATFORM OR WEBSITE — INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL — EVEN IF iSPORTZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2  Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iSPORTZ’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE iSPORTZ PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO iSPORTZ IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE CLAIM AROSE; OR (B) ONE HUNDRED US DOLLARS (USD $100).

12.3  Exceptions

The limitations above do not apply to: (a) death or personal physical injury caused by iSportz’s gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation by iSportz; or (c) any other liability that cannot be excluded or limited under applicable US law.

12.4  Basis of the Bargain

You acknowledge that iSportz has set its fees and entered into these Terms in reliance on the limitations of liability stated in this Section 12, and that these limitations are an essential element of the basis of the bargain between you and iSportz. Without these limitations, iSportz would not be able to provide the Platform at the current price.

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1  Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. The iSportz Platform is operated from the United States and is intended for use in the United States only.

13.2  Informal Resolution First

Before initiating any formal dispute process, you agree to contact iSportz at disputes@isportz.co and attempt to resolve the dispute informally. iSportz will attempt to resolve any dispute within 30 days of receiving written notice. If the dispute is not resolved informally within 30 days, either party may proceed to arbitration as described below.

13.3  Binding Arbitration

ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE iSPORTZ PLATFORM THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, NOT IN COURT, EXCEPT AS PROVIDED IN SECTION 13.5. Arbitration shall be:

  • Administered by JAMS under its then-current Streamlined Arbitration Rules
  • Conducted by a single arbitrator
  • Held in Seminole County, Florida, or by remote hearing if both parties agree
  • Conducted in English
  • Subject to the Arbitrator’s authority to award the same remedies as a court, including injunctive relief
13.4  Class Action Waiver

ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.5  Exceptions to Arbitration

The following claims are not subject to arbitration and may be brought in a state or federal court in Seminole County, Florida:

  • Claims for injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights
  • Claims that are within the jurisdiction of a small claims court
13.6  Opt-Out Right

You may opt out of the arbitration requirement within 30 days of first accepting these Terms by sending written notice to: iSportz, Inc., Attn: Legal Department, 956 International Pkwy, Ste. 1590, Lake Mary, FL 32746, or by email to legal@isportz.co with the subject line “Arbitration Opt-Out.” If you opt out, disputes will be resolved in state or federal courts in Seminole County, Florida.

13.7  Jury Trial Waiver

TO THE EXTENT A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, BOTH YOU AND iSPORTZ WAIVE ANY RIGHT TO A JURY TRIAL. ALL SUCH DISPUTES WILL BE DECIDED BY A JUDGE ALONE.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless iSportz, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the iSportz Platform or Website in violation of these Terms
  • Any UGC you upload, post, or submit through the Platform
  • Your violation of any applicable US law or regulation
  • Your violation of any third party’s rights, including intellectual property, privacy, or publicity rights
  • Any misrepresentation you make in connection with your use of the Platform

 

iSportz reserves the right to assume control of the defense of any claim for which you are obligated to indemnify iSportz, at your expense. You agree to cooperate with iSportz’s defense of such claims.

15. MODIFICATIONS TO THESE TERMS

iSportz reserves the right to modify these Terms at any time. When changes are made:

  • The “Last Updated” date at the top of this document will be updated
  • The updated Terms will be posted at https://isportz.co/sports/legal_docs/terms-of-use/
  • For material changes, iSportz will notify registered users by email or Platform notification at least 30 days before the effective date

 

Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Platform and contact support@isportz.co to close your account.

16. GENERAL PROVISIONS

16.1  Entire Agreement

For individual users, these Terms together with the Privacy Policy constitute the entire agreement between you and iSportz regarding your use of the Platform. For Organizations, these Terms are supplemental to and incorporated into the MSA, which governs in the event of conflict.

16.2  Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

16.3  No Waiver

iSportz’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of iSportz.

16.4  Assignment

You may not assign or transfer your rights or obligations under these Terms without iSportz’s prior written consent. iSportz may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. These Terms are binding on successors and permitted assigns.

16.5  Relationship of the Parties

These Terms do not create any partnership, joint venture, agency, franchise, or employment relationship between you and iSportz. You are an independent user of the Platform.

16.6  Force Majeure

iSportz is not liable for any delay or failure to perform resulting from causes outside iSportz’s reasonable control, including natural disasters, pandemic, acts of government, power failures, internet outages, or third-party service failures.
